These Terms & Conditions apply to all quotations, orders, sales and deliveries from WH Supply Co., unless otherwise agreed in writing.
WH Supply Co. primarily operates as a Business-to-Business (B2B) supplier. By accepting a quotation or placing an order, the customer agrees to these Terms & Conditions.

2. Orders and quotations
All orders are subject to confirmation by WH Supply Co.
Quotations are valid for the period stated in the quotation. Prices and product availability may change if a quotation expires before the order is confirmed.
Once a quotation has been accepted and the order confirmed, the order becomes binding. Any changes to products, quantities, specifications or artwork must be agreed upon in writing and may result in additional costs or delays.
The customer is responsible for checking that all order details are correct before approving the quotation.
3. Prices and payment
All prices are quoted in Swedish kronor (SEK) and are exclusive of VAT, shipping costs and other applicable charges, unless otherwise stated.
Our standard payment term is 7 days from the invoice date, unless otherwise agreed in writing.
The payment due date is stated on the invoice. The customer is responsible for ensuring that payment is made in full by the due date and that the correct payment reference is provided.
3.1 Payment before production
Although we offer 7-day payment terms, payment must be initiated and confirmed as being on its way before production begins.
Our suppliers generally require payment before dispatching products. For this reason, WH Supply Co. cannot begin production while payment remains uninitiated or unconfirmed.
An invoice with 7-day payment terms does not mean that production automatically begins as soon as the order is placed.
Production begins once the payment requirement has been met and all necessary information, including artwork approval where applicable, has been received.
Any delay in payment or approval may affect the production and delivery schedule.
3.2 Late or missing payments
If payment is not received by the due date, WH Supply Co. reserves the right, where permitted by the agreement and applicable law, to:
- Send payment reminders.
- Charge applicable late-payment interest and permitted reminder or recovery fees.
- Suspend production, delivery or further orders.
- Take appropriate legal steps to recover outstanding amounts.
Delays caused by late or missing payment may affect the agreed production and delivery schedule.
4. Production and delivery
Production and delivery times are estimates unless a specific delivery commitment has been agreed upon in writing.
The estimated production and delivery schedule will be communicated in the quotation or order confirmation where possible.
Delivery may be affected by supplier availability, production capacity, shipping providers and circumstances outside our reasonable control.
Customers with a fixed event date or other deadline must communicate this before confirming the order. A requested delivery date is not guaranteed unless expressly agreed in writing.
Unless otherwise agreed in writing, the applicable delivery terms will be specified in the quotation or order confirmation. Responsibility for transport, risk of loss and delivery-related costs will be determined by those agreed terms and applicable law.
5. Customised products and artwork approval
Many of our products, including printed merchandise, banners, apparel and promotional products, are customised or manufactured specifically for each customer.
The customer is responsible for ensuring that all supplied logos, text, artwork and other materials are accurate and that they have the necessary rights to use them.
Where a digital proof or mock-up is provided, the customer must review and approve it before production begins.
Once artwork has been approved, WH Supply Co. is generally not responsible for spelling errors, layout mistakes or other errors that were clearly visible in the approved proof, except where the issue results from our failure to follow the approved specifications or where liability cannot legally be excluded.
Minor colour variations between digital previews and physical products may occur due to screen settings, materials and printing methods.

6. Cancellations and order changes
Requests to cancel or change an order must be submitted in writing as soon as possible.
Once an order has been confirmed, WH Supply Co. may already have committed to supplier costs, materials, design work or production.
If a cancellation is accepted, the customer may be responsible for costs already incurred and other charges permitted under the agreement and applicable law.
Once production has started, cancellation or changes may no longer be possible without additional costs.
Customised products are generally not eligible for returns due to a change of mind where an applicable statutory exception to the right of withdrawal applies.

7. Inspection and claims
Customers should inspect delivered products as soon as reasonably possible and contact WH Supply Co. promptly if they discover damage, missing items, defects or products that differ from the confirmed order.
Please include the order or invoice number, a description of the issue and relevant photographs where possible.
Claims will be handled in accordance with our returns & claims policy.
Nothing in these Terms & Conditions limits any mandatory legal rights relating to defective products, delivery or other applicable obligations.
8. Retention of title
To the extent permitted by applicable law, WH Supply Co. retains ownership of delivered goods until the full purchase price and any other agreed amounts due have been paid.
This clause does not affect any mandatory legal provisions governing ownership or security rights.
9. Limitation of liability
WH Supply Co. will make reasonable efforts to fulfil confirmed orders in accordance with the agreed specifications.
To the extent permitted by applicable law, WH Supply Co. is not liable for indirect or consequential losses, including loss of profit, loss of business opportunities, loss of data or other indirect financial losses arising from delays or defects.
Any limitation of liability will apply only to the extent permitted by the agreement and applicable law. Nothing in these Terms & Conditions excludes or limits liability where such exclusion or limitation is prohibited by law.
10. Force majeure
WH Supply Co. is not responsible for delays or failures caused by circumstances beyond our reasonable control.
Such circumstances may include war, civil unrest, strikes, natural disasters, pandemics, government restrictions, major transport disruptions, material shortages, machinery breakdowns or significant supplier interruptions.
We will make reasonable efforts to minimise the impact of such events and resume performance as soon as reasonably possible.
11. Privacy and personal data
We process personal data as necessary to manage enquiries, quotations, orders, invoicing, deliveries and customer communication, and to fulfil our legal obligations.

13. Applicable law and disputes
These Terms & Conditions are governed by Swedish law, subject to mandatory legal provisions that may apply to the customer or transaction.
Any dispute will be handled in accordance with applicable law and relevant rules on jurisdiction.
